The Registrar of Companies (ROC) in Chennai, Tamil Nadu is responsible for regulating private limited companies in the city. In order to get registered as a private limited company in Chennai, the first step is to get the Incorporation Certificate issued. This certificate proves that a private limited company has been formed in India.

During the process of Private Limited company registration in Chennai, the Memorandum of Association is prepared. It describes the objectives and relationship between the shareholders of the company. The memorandum must be signed by at least one person. Also, the address of the registered office must be mentioned. Besides, the memorandum must have the number of shares subscribed by the subscribers.

Another important document is the Articles of Association. These must be drafted and signed by all the members of the company. They must also have the father's name and the address of the registered office.

Once the Memorandum of Association is prepared, it must be submitted along with the required forms to the Registrar of Companies. A company is required to hold an annual general meeting within six months of the financial year closing.

All private limited companies are required to file their annual accounts. Depending on the type of business, financial statements can be filed in two formats. An income statement or a consolidated plan can be included. The balance sheet and the director's report should be filed within thirty days.

If a company is not able to comply with the filing requirements, it can face penalties. For example, failure to file the company's annual return is punishable with a fine of INR 500,000.
